FishUSA Wholesale Dealer Terms
These are the terms governing the sale of products from the wholesale division of FishUSA, Inc. All wholesale customers who complete an application, and all wholesale customers who purchase from us, agree to and accept these terms.
Orders
All orders should be placed on our B2B website at wholesale.fishusa.com, by EDI, or as otherwise agreed.
There is no minimum order amount.
All orders are subject to our acceptance, and we reserve the right to discontinue servicing any account that does not abide by these terms. We do business on a purchase order basis and this relationship can be terminated at will by either party upon notice to the other party.
Prices
Regular customer pricing is shown on our B2B website. Any special terms or pricing will be set out in a separate writing. All items are priced per “each” unless otherwise indicated. Prices are subject to change at any time, and we reserve the right to correct any errors in pricing.
Fees, Duties, and Taxes
The prices shown on our B2B website include any applicable United States federal excise tax (FET).
Customers outside the United States are responsible for any applicable import fees, duties and taxes.
We only sell to customers who are purchasing for resale, and who provide to us an approved state sales tax resale certificate. Customer agrees to hold us harmless from any sales tax liability that may arise from our sale of products to you.
Payment Terms
Currently we accept payment by all methods shown on the B2B website, including credit card, PayPal and PayPal Pay Later, Venmo, Google Pay and Klarna. We do not add any additional fee for using any payment method shown on the B2B website.
If a customer is approved to pay on terms, the credit terms will be set out in our notice to you. Those credit terms may change from time to time as set out in any subsequent notice to you. Any account on open credit is subject to the FishUSA Open Credit Terms and any terms set out in our approval letter.
Freight and Handling Terms and Transfer of Title
Our standard freight terms are as follows:
- $12.99 freight on order under $600 shipped to one location
- Free freight on orders of $600 or more shipped to one location
In addition to these freight charges, certain items incur an oversize charge. These charges will show in the cart and during checkout on the B2B website, and these charges apply to all orders even if the order is otherwise over the free freight threshold.
Orders can also be picked-up at our facility and will not incur any shipping, handling, or oversize fees or charges. Please contact us by phone or email prior to arriving to pick up any order.
Most orders will ship via FedEx or UPS Ground. Larger orders may ship LTL by the carrier of our choice. Absent prior agreement, expedited shipping options are not available for wholesale orders.
All orders are F.O.B. our facility in Fairview, Pennsylvania. Title to all goods transfers to the dealer upon our tender of the goods to the carrier for shipment. If you want to insure any shipment, notify us in writing or by email prior to the shipment or the goods will be shipped without insurance.
Unless caused by a mistake in shipping, refused orders are subject to our standard 15% restocking fee, plus freight costs both ways. No further shipments will be made until these charges are paid.
Damages or Shortages
Any claim for product damaged in transit or for a shortage on a shipment must be made within five days of receipt of the shipment by calling our Wholesale Customer Service department at 877.808.2902 during our regular business hours.
Product damaged in transit should be recorded on the freight bill or separate delivery document and must include the driver’s signature. If there is apparent damage and the driver will not acknowledge it in writing, refuse the shipment and contact our customer service department immediately.
Returns
Merchandise may not be returned without our prior written authorization. Authorized returns must be shipped freight prepaid and are subject to a 15% restocking charge. Contact our customer service department to request a return authorization.
Backorders
If we are unable to fill an order completely, those out-of-stock items will immediately be removed from your order and you will not be charged for them. We will not accept backorders without prior authorization from our Wholesale Sales Coordinator.
Minimum Advertised Price Guidelines
We reserve the right to set minimum advertised prices (MAP) on certain products. If we set MAP pricing on certain products, we will promptly notify you of that pricing and you will be bound by our MAP pricing guidelines for any product ordered from us after your receipt of that notice. Add-to-cart offers, “call for price” solicitations, rebates, premiums, and other offers are not permitted under these guidelines.
We reserve the right, at our discretion, to suspend product shipments to Customers pricing below the minimum advertised price as set out in any notice we send.
This is our unilateral policy and no agent or employee is authorized to waive this policy or any of its terms.
Authorized Locations and Websites
Customer acknowledges that it may only offer and sell the products we supply only from the physical locations identified in the “Sales Locations” section of the Customer’s application. Products may not be offered or sold from any other location, including any new locations established by Customer, without our prior written approval.
Customer further acknowledges and agrees that it may not market or list for sale the products we supply in any electronic media format including any internet site, homepage, web page, or other electronic media form including, but not limited to, Amazon, eBay, Facebook, and Pinterest, without our prior written approval. Listing for sale or selling any products at any unapproved location or website is prohibited.
Transfer of Goods
FishUSA, Inc. is the exclusive authorized distributor for all FishUSA©-branded products (which include Dai-Riki© and Stealthcore© branded products). Dealers may only resell these products to end-user customers. Dealers may not sell, transfer, or distribute these FishUSA-branded products, either directly or indirectly, to other locations or retailers without our express written approval.
The fact that we have authorized a Customer at one location does not mean that we will approve expansion or relocation of that Customer to another location. We consider each location separately for possible authorization.

All FishUSA collateral literature, and the images, videos, and product descriptions and explanations on the FishUSA B2C and B2B website, are the sole property of FishUSA, Inc. These materials may not be reproduced without our express written permission.
